Pursuant to Reg. 30 read with Schedule III of SEBI (LODR) Reg. 2015 we would like to inform you that the Board in its meeting held on August 14 2024 authorised Mr. Chander K Baljee Chairman & Managing Director of the Company to look for a buyer for sale/transfer of 100 % shareholding in Royal Orchid Maharashtra Private Limited.The Board also authorised Mr. C K Baljee to negotiate for such consideration and on such terms and conditioins as he may deem fit and proper in the best interest of the Company finalize and execute the necessary agreements deeds documents or writings as may be required in connection with the sale transfer or disposal of Royal Orchid Maharashtra Pvt. Ltd. and to perform all such acts deeds matters and things as may be nessary desirable or expedient in relation thereto.The details as required under reg. 30 is given in annexure A.Kindly take the above information in your records and oblige.
